Terms of Service

The agreement governing your use of Q.Bids.

1. Agreement to these terms

These Terms of Service ("Terms") form a binding agreement between you and The Quiah Group, Inc., a Virginia corporation ("TQG," "we," "us," or "our"), governing your access to and use of the website at qbids.co, the Q.Bids client portal, and any related services, data feeds, alerts, reports, and proposal support we provide (together, the "Service").

By creating an account, subscribing, or otherwise using the Service, you accept these Terms. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Q.Bids aggregates publicly published government procurement opportunities, matches them against the business profile you provide, and delivers alerts, search tools, and analysis through the client portal. TQG also offers proposal writing, capture, and compliance review services, which may be purchased separately or as part of a subscription plan.

The Service is an information and support tool. It is not a bidding agent, and it does not submit offers to any government agency on your behalf unless a separate written engagement letter says otherwise.

3. Eligibility and accounts

You must be at least 18 years old and legally able to enter into contracts. You agree to provide accurate, current, and complete registration information and to keep it updated.

You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. Accounts are issued to a named individual or organization and may not be shared, resold, or transferred without our written consent. Notify us immediately at support@qbids.co if you suspect unauthorized use.

4. Subscriptions, fees, and billing

Subscription plans, features, and prices are described on the site and in your order confirmation. Unless stated otherwise:

  • fees are quoted and payable in United States dollars
  • subscriptions renew automatically at the end of each billing period at the then current rate until cancelled
  • payment is processed by Stripe, Inc., and you authorize us to charge your selected payment method for all fees, applicable taxes, and renewals
  • you may cancel at any time through the client portal or by written notice, effective at the end of the current billing period
  • cancellation stops future charges but does not entitle you to a refund of fees already paid, except as stated below or as required by law

We may change prices with at least thirty days notice before the change applies to your next renewal. If we fail to collect payment, we may suspend access until the balance is cleared. Fees for professional services such as proposal drafting are governed by the applicable statement of work or engagement letter, which controls over this section if the two conflict.

Refunds are considered individually where a documented Service failure prevented meaningful use of a paid period. Requests should be sent to billing@qbids.co within thirty days of the charge.

5. Accuracy and completeness of opportunity data

You acknowledge and agree to the following, which is a material condition of your use of the Service:

Q.Bids compiles information from public procurement portals maintained by independent government agencies. Those portals vary in structure, availability, refresh frequency, and reliability. Coverage across jurisdictions is not uniform and continues to expand. Some sources may be unavailable, delayed, incomplete, or temporarily unreachable, and some agencies publish only through channels that cannot be reliably collected.

We therefore do not warrant that the Service contains every opportunity relevant to you, that listings are current, or that dates, contacts, set aside designations, values, or requirements shown in the platform are accurate. Solicitation documents and deadlines published by the issuing agency always control.

You are solely responsible for verifying every opportunity directly with the issuing agency before relying on it, and for meeting all submission deadlines and requirements. Missing a deadline, a requirement, or an opportunity is not a basis for a claim against TQG.

6. No guarantee of award

Government procurement outcomes depend on factors outside our control, including agency discretion, evaluation criteria, competition, budget, and protest activity. TQG makes no representation, warranty, or guarantee that your use of the Service, or any proposal we help prepare, will result in an award, a shortlisting, a favorable evaluation, or any particular revenue. Any figures shown in marketing material or case studies are illustrative and are not a promise of results.

7. Acceptable use

You agree not to:

  • use the Service in violation of any law, regulation, or procurement rule, including the Federal Acquisition Regulation and state equivalents
  • misrepresent your business size, ownership, certifications, or eligibility for a set aside
  • scrape, crawl, mirror, resell, sublicense, or redistribute data obtained from the Service, or use it to build a competing product
  • reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service
  • upload malicious code, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service
  • upload classified information, controlled unclassified information, export controlled technical data, or protected health information without our prior written agreement covering that category
  • upload content you do not have the right to provide, or that infringes the rights of any person

We may suspend or terminate access immediately for a violation of this section.

8. Your content

You retain ownership of the documents, data, and materials you submit ("Your Content"). You grant TQG a limited, nonexclusive license to host, process, transmit, and display Your Content solely to provide and support the Service and to perform work you request. We treat Your Content as confidential in accordance with our Confidentiality Statement.

You are responsible for the accuracy and legality of Your Content, including any representations about certifications or past performance. Where we prepare a proposal for you, you remain responsible for reviewing it, for the truth of every statement made to the agency, and for the signature and submission of the final offer.

9. Our intellectual property

The Service, including the platform software, interface, matching logic, compiled databases, reports, templates, documentation, the Q.Bids and Quiah Group names, and associated logos, is owned by TQG or its licensors and is protected by intellectual property law. Except for the limited right to use the Service under these Terms, no rights are granted to you.

Underlying government solicitation documents are public records and are not claimed as our property. Our compilation, enrichment, and presentation of that material is proprietary.

Work product we deliver under a paid professional services engagement becomes yours upon full payment, except for our pre existing templates, methodologies, and tools, which remain ours and which you may use internally as part of the deliverable.

10. Third party services and links

The Service links to government portals and may integrate with third party services such as Stripe. We do not control those services, are not responsible for their content, availability, or practices, and their terms and privacy policies govern your use of them.

11. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis. TQG disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure, or error free.

Nothing in the Service constitutes legal advice. Procurement law questions should be directed to qualified counsel.

12. Limitation of liability

To the fullest extent permitted by law, TQG and its officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost contracts, lost bids, lost data, or business interruption, arising out of or relating to the Service, whether based in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service in any twelve month period will not exceed the amount you actually paid to TQG for the Service during that period.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless TQG and its personnel from any claim, demand, loss, liability, or expense, including reasonable attorney fees, arising out of your use of the Service, Your Content, your violation of these Terms or applicable law, your representations to any government agency, or your infringement of the rights of a third party.

14. Term, suspension, and termination

These Terms apply for as long as you use the Service. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your account is delinquent, if we are required to do so by law, or if continued provision poses a security or legal risk. You may terminate by cancelling your subscription and ceasing use.

On termination, your right to use the Service ends immediately. Sections addressing your content, our intellectual property, disclaimers, limitation of liability, indemnification, confidentiality, and governing law survive.

15. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules. The parties agree to attempt in good faith to resolve any dispute informally by written notice and a period of at least thirty days of negotiation.

If a dispute is not resolved, it will be brought exclusively in the state or federal courts located in Virginia, and each party consents to personal jurisdiction and venue there. Each party waives any right to a trial by jury and agrees that claims will be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding.

16. Changes to these Terms

We may modify these Terms from time to time. We will post the revised version with an updated date and, for material changes, provide notice by email or through the client portal at least thirty days before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept the revised Terms, you may cancel before they take effect.

17. General

These Terms, together with the Privacy Policy, the Confidentiality Statement, and any applicable order form or statement of work, are the entire agreement between the parties regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship, or a teaming arrangement, unless separately agreed in writing.
