Confidentiality Statement

How we protect the competitive information you share with us.

1. Why this statement exists

Government contracting is competitive. When you use Q.Bids, you may share information that would damage your position if it reached a competitor: pricing strategy, rate structures, staffing plans, past performance narratives, teaming discussions, win themes, technical approaches, and the specific opportunities you intend to pursue.

The Quiah Group, Inc. ("TQG," "we," "us," or "our") treats that information as confidential. This statement describes the commitments we make, the limits of those commitments, and the controls we apply. It supplements, and does not replace, any separately signed nondisclosure agreement, teaming agreement, or engagement letter, which will control if its terms conflict with this statement.

2. What we treat as confidential

"Confidential Information" means any nonpublic information you disclose to us, or that we develop for you, in connection with the Service, in any form, including:

  • pricing, cost buildups, indirect rates, wrap rates, and margin assumptions
  • proposal drafts, win themes, technical and management approaches, and capture strategy
  • the identity of opportunities you are pursuing, your bid or no bid decisions, and your pipeline
  • resumes, staffing plans, letters of commitment, and key personnel identities
  • teaming partners, subcontractors, prime contractor relationships, and terms under discussion
  • past performance narratives, contract values, CPARS content, and customer contacts
  • financial statements, forecasts, backlog, and audit findings
  • business plans, certifications in process, and socioeconomic status documentation
  • any information that a reasonable business would understand to be sensitive given its nature and the circumstances of disclosure

Information does not need to be marked "confidential" to be protected under this statement.

3. Our commitments

We will:

  • use your Confidential Information only to provide the services you have requested
  • limit access to personnel and contractors who need it to perform that work
  • require every employee, contractor, and vendor with access to be bound by written confidentiality obligations at least as protective as those in this statement
  • apply reasonable administrative, technical, and physical safeguards, including access controls, credential management, and encryption of data in transit
  • not disclose your Confidential Information to any third party except as described in Section 5
  • not use your Confidential Information for our own competitive benefit or for the benefit of another client
  • return or securely destroy your Confidential Information on written request, subject to Section 8

We will maintain these obligations for as long as the information retains commercial value, and in any event for no less than five years after our last engagement with you, unless a signed agreement between us sets a longer period.

4. Conflicts of interest and separation of client work

TQG is itself a government contractor and provides services to multiple clients, some of whom compete for the same opportunities. We take this seriously.

Screening. Before accepting a proposal support engagement, we check the opportunity against our active engagements. If we are already supporting another offeror on the same solicitation, or intend to bid it ourselves, we will tell you before we accept the work and will decline, or proceed only with the written informed consent of every affected party.

Separation. Where we support more than one client in the same market, engagement teams are kept separate and client materials are stored in access restricted locations. Personnel assigned to one client's pursuit are not assigned to a competing pursuit for the same solicitation.

No cross use. Information learned from one client is never used to inform, price, or shape another client's offer, or a TQG offer.

Automated matching. The Q.Bids platform matches opportunities to your saved business profile automatically. Your profile, saved searches, filters, and pipeline activity are visible only to you and to authorized TQG personnel supporting your account. They are not disclosed to other subscribers, and they are not used to alert another subscriber to your interest in a specific opportunity.

5. Permitted disclosures

We may disclose Confidential Information only:

  • to our personnel, contractors, and service providers who need it to deliver the Service and who are bound by equivalent confidentiality obligations
  • to teaming partners, prime contractors, agencies, or others whom you specifically direct us in writing to engage
  • to our attorneys, accountants, auditors, and insurers under a duty of confidentiality
  • where required by law, subpoena, court order, or a lawful demand from a government authority

If we receive a legal demand for your Confidential Information, we will, unless prohibited by law, notify you promptly so that you can seek a protective order, and we will disclose only the portion legally required.

6. What is not confidential

These obligations do not apply to information that:

  • is or becomes publicly available through no fault of ours
  • was rightfully in our possession without a duty of confidentiality before you disclosed it
  • is rightfully received from a third party who is free to disclose it
  • is independently developed by us without reference to your Confidential Information

Published solicitations, agency announcements, award notices, and other public record procurement data are public information and are not restricted by this statement.

7. Our own information

Our proprietary methodologies, templates, checklists, compliance matrices, matching logic, aggregated and deidentified platform data, and pricing are our confidential information. You agree not to disclose them to any third party or to use them to build or improve a competing service.

8. Retention, return, and destruction

We retain your Confidential Information for the duration of your engagement and for a reasonable period afterward to support recompetes, audits, and our legal and tax obligations. On written request we will return or securely destroy your Confidential Information within thirty days, except for:

  • copies retained in routine encrypted system backups, which are overwritten on our normal cycle and which remain subject to these confidentiality obligations until deleted
  • records we are required to retain by law, professional standards, or audit requirements

Destruction is carried out using methods designed to make the information unrecoverable.

9. Security incidents

If we become aware of unauthorized access to or disclosure of your Confidential Information, we will notify you without undue delay, provide the information reasonably available to us about what occurred and what was affected, take prompt steps to contain and remediate the incident, and cooperate with your reasonable investigation and any notification obligations you may have.

10. Your responsibilities

Confidentiality runs in both directions and depends in part on you. Please:

  • keep your account credentials secure and do not share logins
  • tell us promptly if a user should no longer have access to your account
  • avoid submitting information you are not authorized to disclose, including another party's proprietary data
  • do not upload classified information, controlled unclassified information subject to specific safeguarding clauses, or export controlled technical data unless we have agreed in writing in advance that we can accept that category and have the required controls in place

11. No warranty of absolute security

We apply reasonable safeguards, but no system is completely secure and we cannot guarantee that Confidential Information will never be accessed improperly. This statement describes commitments and controls, not a warranty of an outcome. Our liability in connection with this statement is subject to the limitations set out in the Terms of Service, except in cases of our gross negligence or willful misconduct.

12. Changes

We may update this statement. Material changes will be posted here with a revised date and communicated by email or through the client portal. Changes do not reduce the protections applying to information already disclosed to us.
